Terms of Service

Neltava evaluates spend requests from your AI agents against the authority and purpose you define, returns a decision, and keeps a record of it.

• Neltava does not move money, hold funds or act as a payment provider. Your systems make and control every payment.
• In Shadow Mode, decisions are recorded for your review and do not stop any spend.
• In Enforce, decisions are inputs your systems act on. You decide whether to enable Enforce for an agent, and you remain responsible for your agents, your payments and how your systems use our decisions.
• Purpose assessments are produced by an AI model and can be wrong. They can send a spend to human review; they never block a spend on their own. Neltava does not guarantee that it will detect every unwanted, mistaken or fraudulent spend.

Give accurate account information and keep it current. Keep your password and API keys confidential: you are responsible for activity under your account and your keys. Tell us promptly at hello@neltava.com if you believe a key or account has been compromised, and revoke the key in the console.

You agree not to:

• use the Service for anything unlawful, or to facilitate fraud or harm;
• attempt to breach, probe or disrupt the Service, or access another customer’s data;
• exceed rate limits deliberately, load-test the Service, or send it malicious code;
• resell or offer the Service to third parties as your own, except as part of your own product with our written agreement;
• use the Service to build a competing product.

Shadow Mode is free, with the limits shown in the console (currently purpose checks for 30 days from your first decision, up to 5,000). We may change free limits prospectively. Paid plans, such as Enforce, are billed at the price and on the terms shown when you purchase or agreed with us in writing. Taxes are your responsibility where applicable.

You own the data you and your agents send to the Service (“Customer Data”). You give us permission to host, process and display Customer Data only as needed to provide, secure and support the Service, as described in our Privacy Policy. We do not use Customer Data to train AI models. You are responsible for having the right to send us Customer Data, and for not sending data the Service does not need, such as payment card numbers.

Decision records are append-only and tamper-evident by design; they cannot be edited or removed individually through the Service. You can ask us to delete your workspace as a whole.

We work to keep the Service available and reliable, but we do not promise it will be uninterrupted or error-free, and free plans come without a service-level commitment. We may improve or change features; if we remove a material feature of a paid plan, we will give you reasonable notice.

You can stop using the Service at any time. We may suspend or end access if you breach these terms, if your use puts the Service or other customers at risk, or if required by law — with notice where reasonably possible.

Except as expressly stated in these terms, the Service is provided “as is” and “as available”, and to the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

To the fullest extent permitted by law, Neltava will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or funds, including spend made or not made by your agents. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim and one hundred US dollars.

We may update these terms. We will update the date above, and for material changes we will notify account holders by email before they take effect. Continuing to use the Service after that means you accept the updated terms.
